These Terms of Service (“Terms”) apply when you access or use the OUJI Singapore website and online store, create an account, place an order, or purchase products from OUJI (SINGAPORE) PTE. LTD. (“OUJI Singapore”, “we”, “us” or “our”).

 

By accessing or using this website, creating an account, submitting an order, or completing a purchase, you agree to be bound by these Terms. These Terms should be read together with our Privacy Policy, Return and Refund Policy, Shipping Policy and any other policy made available on this website.

 

If you do not agree to these Terms or any applicable policy, please do not use this website, create an account, or place an order with us.

 

Nothing in these Terms excludes, restricts or limits any rights or remedies that you may have under applicable Singapore law.

 

1.      Access and Account

 

You must be at least 18 years old to place an order on this website. If you are below 18 years old, you should only use this website with the involvement and consent of your parent or legal guardian and you must not place an order without such involvement and consent.

 

When you create an account or place an order, you may be required to provide information such as your name, contact details, billing information, payment information and delivery information. You agree to provide information that is accurate, complete and up to date. We will handle any personal data provided by you in accordance with our Privacy Policy.

 

You are responsible for keeping your account login details confidential and for all activities carried out through your account. You must not transfer, sell, assign or license your account to another person. Please notify us promptly if you believe that your account has been used without authorisation.

 

We may suspend or restrict access to your account if we reasonably believe that your account has been misused, compromised, used for unlawful purposes, or used in breach of these Terms. 2.      Products and Product Use

 

We sell household, personal care and related consumer products through this website. We make reasonable efforts to describe and display them accurately, but product images are illustrative and actual packaging, colour, appearance, size or presentation may vary slightly.

 

Product descriptions, ingredients, specifications, prices, availability and promotions may change. Please review the product information, labels, instructions and warnings before purchase and use, particularly if you have allergies, sensitivities or specific requirements.

 

Use each product only for its intended purpose and follow the instructions provided. Stop using it and seek appropriate advice if you experience an allergic or adverse reaction, irritation, discomfort or another unexpected issue.

 

We are not responsible for loss, damage or injury caused by misuse, improper storage, unauthorised modification, failure to follow instructions or use for an unintended purpose, except where liability cannot be excluded under applicable law.

 

Nothing in this section affects your rights under applicable Singapore law for defective products, products that do not match their description, or products that are not of satisfactory quality.

 

3.      Orders, Prices and Payment

 

When you place an order, we will send an acknowledgement confirming receipt. This is not acceptance. Your order is accepted when we confirm that it is being processed or shipped, subject to successful payment authorisation or confirmation.

 

We may decline or cancel an order where reasonably necessary, including where:

 

•                    the product is unavailable;

•                    there is an obvious error in the product, price or promotion information;

•                    payment cannot be verified or authorised;

•                    the delivery information is incomplete or inaccurate;

•                    we reasonably suspect fraud, unauthorised activity, misuse of promotion, bulk purchase for resale, commercial distribution or export; or

•                    we are unable to fulfil the order due to circumstances beyond our reasonable control.

 

If we cancel an order or item after payment, we will refund the amount paid for it. Please review your order before submitting it, as we may be unable to cancel or amend an order after it has been confirmed and processed. Products are for personal or household use only, not resale, commercial distribution or export.

 

Prices are in Singapore dollars unless stated otherwise. The price payable is the price shown at checkout, subject to correction of obvious errors. Delivery charges, if any, will also be shown at checkout.

 

Promotions, vouchers and discounts may have additional conditions, including validity periods, minimum spend, exclusions and usage limits. If promotion terms conflict with these Terms, the promotion terms apply to that promotion.

 

You must provide accurate and complete payment information. Payment must be successfully authorised or confirmed before we process your order.

 

4.      Shipping, Returns and Refunds

 

Shipping and delivery are governed by our Shipping Policy. Returns, exchanges and refunds are governed by our Return and Refund Policy. These policies set out the applicable timelines, charges, eligibility conditions, exclusions, supporting information, remedies and return arrangements.

 

Delivery times are estimates. Please provide accurate delivery details. Unless otherwise required by law, risk of loss or damage passes to you when we hand the products to the delivery service provider, without affecting rights or remedies that cannot be excluded.

 

5.      Website Content, Feedback and Intellectual Property

 

Website content, including text, images, graphics, logos, product descriptions, videos, layout, design and trademarks, belongs to OUJI Singapore, its related companies, licensors or content providers unless stated otherwise. You may use it only for personal, non-commercial purposes and must not copy, modify, distribute, publish, sell or commercially exploit it without our prior written consent.

 

If you submit feedback, suggestions, reviews or other content, you must ensure that it is accurate, lawful and does not infringe third-party rights. You grant us a worldwide, perpetual, irrevocable, sublicensable and royalty-free licence to use, reproduce, modify, publish, distribute and display that content for purposes relating to it for our website, products, customer service, business operations, marketing and legal compliance, subject to our Privacy Policy. We are not required to keep it confidential, pay for it, publish it or respond to it. All rights not expressly granted are reserved.

 

6.      Third-Party Services and Privacy

 

Our website and online store are hosted on Shopify and may use third-party providers for payments, orders, delivery, returns, refunds, customer service and analytics. Purchases are made directly between you and OUJI Singapore; Shopify is not the seller and is not responsible for our products or fulfilment.

 

Third-party tools, links, platforms and services are operated by their providers and may have separate terms and privacy policies. We are not responsible for their content, security, availability or practices.

 

We handle personal data in accordance with our Privacy Policy and applicable Singapore law. If you provide personal data about another person, you confirm that you are authorised to do so and, where required by law, have obtained that person’s consent.

 

7.      Acceptable Use and Website Availability

 

You must not use this website unlawfully or fraudulently; submit false or harmful content; send spam or malicious code; interfere with security or operation; scrape or collect data without authorisation; infringe rights; impersonate others; harass or harm anyone; or otherwise breach these Terms or applicable law.

 

We may take proportionate steps to suspend, restrict or terminate access if we reasonably believe these Terms have been breached or the website misused. We may also correct website errors, update information, cancel affected orders with a refund where payment was made, and suspend or modify the website for maintenance, security, operational or business reasons. Where an error materially affects an order, we will contact you where reasonably practicable.

 

8.      Liability and Indemnity

 

Except as expressly stated in these Terms or required by applicable law, this website and its content are provided on an “as is” and “as available” basis. We do not guarantee that the website will always be uninterrupted, secure, error-free or suitable for every purpose, and we exclude implied warranties only to the extent permitted by law. This does not affect any statutory consumer rights or liability that cannot lawfully be excluded.

 

To the fullest extent permitted by law, OUJI Singapore is not liable for indirect, incidental, special, consequential or punitive loss, or loss of profit, revenue, goodwill, data or business opportunity, arising from your use of the website or products.

 

Nothing in these Terms excludes liability that cannot lawfully be excluded, including or lawfully affects your statutory consumer rights. You agree to indemnify OUJIOUJI Singapore against third-party losses, claims and reasonable costs caused by your breach of these Terms, misuse of the website, unlawful content, violation of law or infringement of third-party rights, except to the extent caused by our breach, negligence or misconduct.

 

9.      Changes to These Terms

 

We may update these Terms to reflect changes in our business, website, services, policies, law or operations. Updated Terms will be posted with a new effective date. If you do not agree with them, please stop using the website.

 

10. General Provisions

 

If any provision is invalid or unenforceable, it will be removed only to the extent necessary and the remaining provisions will continue. Provisions intended to survive suspension or termination will remain effective. A failure or delay in exercising a right is not a waiver.

 

You may not assign these Terms without our prior written consent. We may assign them to a related company or as part of a merger, restructuring, sale or transfer of our business or assets.

 

These Terms, together with the policies Privacy Policy, Return and Refund Policy, Shipping Policy, any applicable promotion terms and any other policies expressly incorporated by reference, constitute the agreement between you and us relating to your use of this website and purchases made through it, and supersede prior communications on those matters.

 

These Terms are governed by Singapore law, and the courts of Singapore have exclusive jurisdiction over disputes arising from them, this website or purchases made through it.
